Lori Johnson has been practicing for more than 15 years and has significant experience in a variety of practice areas. Her vast experience in multifaceted practice areas contributes to her success rate in handling and resolving complex matters. Her experience in handling complex matters provides a broad range of sophisticated legal skills that she is able to implement at the closing table, in the courtroom and at council meetings. She provides pivotal advice on litigation and corporate strategy to in-house counsel, CEOs, principals, upper-level management and council members.
Lori has assisted in the representation of municipalities, zoning boards and housing authorities.
Lori works closely with clients, attorneys, brokers and bank counsel in deals and implements creative solutions to “get the deal done,” while drafting necessary provisions that reduce legal exposure and preserve clients’ interests. She has been responsible for the corporate structuring of commercial deals and has negotiated and closed complex commercial transactions, including asset-based acquisitions, shareholder and partnership buy-outs, multi-million-dollar purchases of global fast food franchises. Lori has also represented fast food restaurants, sewing companies, insolvent cabinetry company, dry cleaners, commercial real estate owners, charter jets brokerage company, seafood importers/distributor, medical and dental practices, closely held companies and pension company, and provides general corporate counseling and services, including but not limited to, the acquisitions and sale of assets, preparation and negotiation of contracts, operating agreements, shareholder buy-out agreements, non-compete and non-solicitation agreements.
Lori is well-versed in handling commercial and industrial real estate deals, including SBA loans and 1031 Exchanges. She has negotiated and closed the purchase of a branded gasoline station with open active spill cases, and represented both commercial landlords and tenants in the negotiations of office and retail leases.
Lori also has an extensive commercial litigation background and has successfully litigated and resolved an array of complex shareholder, partner and business disputes. She represented investors in a $10 million business dispute with developers and defeated a motion to compel an offer for joint venture that reduced investors’’ interests in a redevelopment project. She was further responsible for defense litigation strategy for a defendant manufacturer in a multi-million-dollar Spill Act litigation and successfully defeated dispositive motions and interlocutory appeals filed by the NJDEP and third-party suppliers, distributors and customers.
In addition, she has represented bankers in Uniform Commercial Code actions and a conglomerate of New Jersey casinos in gaming regulatory matters. Further, she has represented Fortune 500 companies in employment discrimination actions and counseled corporate clients on various employment issues.
Lori was a judicial law clerk for the Honorable Murry D. Brochin, Superior Court of New Jersey, Appellate Division, and a judicial intern for Justice James H. Coleman of the New Jersey Supreme Court.
Lori was reappointed to the New Jersey Supreme Court Committee on Character. She is a member of the Bergen County Bar Association, the American Bar Association, the Garden State Bar Association and the Inn of Transactional Counsel. She serves on the New Jersey State Bar Association, Business Law Section, Securities Law Committee and Business Entities Committee.
She was named by the New Jersey Law Journal as one of its 2014 “New Leaders of the Bar,” which highlights the leading lawyers under the age of 40 in New Jersey.
Lori serves on the Board of Directors of Girl Scouts of Northern New Jersey.
